OFFICIAL RULES

NO TALENT REQUIRED, OPEN TO FEMALE RESIDENTS (where accepted by law) WHO ARE 18 YEARS OF AGE OR OLDER

HOSTING COMPANY: Angel Marketing Group (herein referred to as "Hosting Company") is the event coordinator of the International Search for Ms. Bikini 2007 Calendar & Model Search Contest (herein referred to as the "Contest").

HOW TO ENTER: To enter, use the internet to view www.msbikini.com for the official information and online entry form. You must complete all information requested, including but not limited to your legal name, full address (including apartment number), city, state/providence, zip code/postal code, daytime, home and cell telephone numbers, e-mail address at which you can be reached, date of birth and all other information requested on the form. You will then be able to email two (2) recent and different photographs, (herein referred to as Images,) of yourself in JPEG format, using the instructions provided. Images should only include entry of contestant. All images submitted must be vertical, approximately 400 x 600 pixels and less then 1 meg in file size. Once all required information is received, Images will be posted on our Online Entry Board. The Hosting Company reserve the right to contact any contestant who has entered the Contest to request resubmission of one or more of the Images and/or to request that the Contestant submit additional images, in Hosting Company's sole discretion, if there are problems with the Contestant’s initial submission of such Images, or if there are other questions or problems with such entry. While Contestants may have assistance in entering data and uploading the images, each Contestant must otherwise complete the entry forms herself. Any entries submitted by anyone other than the person appearing in the Images (including but not limited to entries submitted by modeling agencies) will be rejected. As set forth in greater detail herein, submission of Images and entry in the Contest constitutes consent to use the Images on said web site, www.msbikini.com and/or associated or otherwise affiliated web sites.

Except as otherwise permitted herein, only one entry per person will be accepted; all subsequent entries will be disregarded. No altered photographs, or photographs containing more than one person, will be eligible. Any Images exhibiting Contestant’s nipples or genitals will be rejected. The determination of whether any image has been altered, or exhibits Contestant's nipples or genitals, is in the sole discretion of the Hosting Company. False, deceptive or incomplete entries or other information provided by Contestants throughout the Contest (including but not limited to responses to questionnaires) shall render the entry ineligible. The Contestant may submit her entry form and Images using the above procedures anytime during the period April 1, 2006, until July 28, 2006, 11:59 PM East Coast time (the "Voting Period"); late online entries shall be ineligible. Date of entry during the Voting Period will not affect chances of being chosen.

ELIGIBILITY: All Contestants must be legal residents of their country (where accepted by law), must be female, and must have been 18 years of age or older on the date that the earliest of the submitted Images was taken. The Hosting Company reserve the right to disqualify any Contestant whose image has been published, or during the course of this Contest is published, in any media (publications, World Wide Web, television, etc.), in a manner that is considered by the Hosting Company, in their sole discretion, to be pornographic, vulgar or obscene. All Contestants who are selected as Semi-Finalists further agree that for the one (1) year period following the announcement of the Winner, their images shall not be published in any media (publications, World Wide Web, television, etc.), in a manner that is considered to be pornographic, vulgar or obscene by the Hosting Company, in their sole discretion.

Contestants may also be required to warrant and represent that they will not identify themselves as participants in the Ms. Bikini Contest, and will not use any of the Hosting Company's trademarks or tradenames except as expressly permitted under these Official Rules. Semi-Finalists understand that Hosting Company will be irreparably harmed by the use of any of the Hosting Company's trademarks or tradenames except as expressly permitted under these Official Rules. The Contest may be promoted by or in connection with other sponsors, and Semi-Finalists will be required to specifically grant such sponsors the right to use the Images, videotape, and other materials referred to herein in connection with such promotions without additional compensation. Contestants will also be required to represent and warrant that they have sufficient rights in the Images, videotape, and all other materials submitted in connection with this Contest to grant the Hosting Company the rights granted hereunder. If the Images or videotape are modeling shots, photographs/video taken by a professional photographer/videographer, or anything other than personal snapshots/video in which the Contestant holds or rights, or if they include any copyright notice, Contestants will be required to demonstrate that the copyright holder(s) has granted her the right to allow the Hosting Company to reproduce and publish the photographs and/or video, by providing a signed Copyright Release (to be provided), or they will be ineligible to participate in the Contest. Contestants are responsible for any financial reimbursement to the original copyright holder for the rights to publish the Images and/or videotape as provided herein; the Hosting Company will not be responsible for any such payment, and will not be held under any obligation to publish a photo and/or video credit to the original copyright holder for the publication of an image. Contestants shall agree to hold the Hosting Company harmless and to indemnify the Hosting Company from any and all liabilities, loss, claims, or causes of actions, including reasonable attorneys' fees and expenses that may be incurred by the Hosting Company, arising out of or relating to my breach of any representation or warranty, or any other violation of these Official Rules.

Failure to comply with these Official Rules will result in ineligibility of Contestant. Contestant appoints Hosting Company as her attorneys in fact, and grants Hosting Company permission to demand the removal of any Images that violate these Official Rules. All federal, state/provincial and local laws and regulations of the United States and/or other countries apply. Void where prohibited or restricted. Contestants agree to be bound by these Official Rules.

PRE-FINALS AFFIDAVIT: Through the online process, based upon the number of votes, and event venue competitions, based on an organized judging, the Hosting Company will select at least one (1) of the Contestants as the Semi-Finalist Contestant (herein referred to "Semi-Finalist"). Semi-Finalist may be contacted via e-mail or telephone, to request that they complete an additional questionnaire and submit a Pre-Finals Affidavit. All Semi-Finalists will have the option to submit a videotape along with their Pre-Finals Affidavit, answering questions or otherwise offering a self interview in accordance with the request of the Hosting Company. Only the Contestant should appear in the submitted videotape. The submitting of a videotape by any Semi-Finalist will not effect the result of the International Finals. Each submitted videotape must conform to the requirements provided to the Semi-Finalist by the Hosting Company.

In the Pre-Finals Affidavit, Semi-Finalists may be required to: (i) provide additional biographical or other information; (ii) certify that they meet all eligibility requirements as set forth in these Official Rules; (iii) certify that the Images and videotape depict the Semi-Finalist; (iv) grant the Hosting Company the right to publish in all media now known, or hereafter devised - including but not limited to online display, television, cable, video, DVD and/or film productions, publications, wireless applications and other media channels and applications, and for advertising, promotions, other Contests sponsored by one or all of the Hosting Company and other commercial purposes (whether by the Hosting Company or any third party) - the biographical information and questionnaire responses that Semi-Finalists provide (except Social Security number, full address, telephone number, e-mail address, or other information specifically noted in writing by the Hosting Company to be confidential or anonymous); (v) grant the Hosting Company the right to publish the Images, videotape and all other materials submitted, used or taken in connection with the Contest (as described in these Official Rules) in all media now known or hereafter devised, including but not limited to online display, television, cable, video, DVD and/or film productions, publications, wireless applications and other media channels and applications, and for advertising, promotions, other Contests sponsored by one or all of the Hosting Company and other commercial purposes (whether by the Hosting Company or any third party); (vi) grant the Hosting Company the right to photograph and/or video Semi-Finalist, and to use such images and/or video for all purposes and in all media now known or hereafter devised, including but not limited to online display, television, cable, video, DVD and/or film productions, publications, wireless applications and other media channels and applications, and for advertising, promotions, other Contests sponsored by the Hosting Company and other commercial purposes (whether by the Hosting Company or any third party).

Semi-Finalists will be required to attach to the Pre-Finals Affidavit copies of two (2) forms of identification, and to show the original thereof to the Notary Public at the time that Semi-Finalist executes her Pre-Finals Affidavit. At least one of the forms of identification must be a valid government-issued ID that includes a photograph of the Semi-Finalist and her date of birth (such as a driver's license, passport, or state/provincial identification card). The other form of identification must verify the Semi-Finalist's identity (such as a school or employer identification card, Social Security card, or birth certificate).

Contestants who become Semi-Finalists or Finalists may also be required to produce the originals of such identification to the Hosting Company at any time. Contestants are required to submit any other information or materials that the Hosting Company may request with the Pre-Finals Affidavit or thereafter. All of the above-referenced materials, and all other materials/forms requested in accordance with these Official Rules, must be returned to the Hosting Company at the following address (International Ms. Bikini, Angel Marketing Group, 433 Hogestown Road, Mechanicsburg, Pennsylvania) so as to be received by the deadline requested by the Hosting Company, or Contestant may be disqualified.

The Semi-Finalist must personally execute the Pre-Finals Affidavit. Any Pre-Finals Affidavit that is executed by a person other than the Semi-Finalist will be considered invalid, and will render the entry ineligible. The return of the above referenced material within the allotted time shall be the sole responsibility of the Semi-Finalist; the Hosting Company is not responsible for delays in delivery. The Hosting Company must receive all required documentation (as described above) in accordance with the instructions received from the Hosting Company; and any Semi-Finalist whose documentation is not received by such date or whose documentation is deemed to be, in the Hosting Company's sole determination, incomplete, erroneous or misleading, will be ineligible to participate in the remainder of the Contest. THE RETURN OF ALL REQUIRED DOCUMENTATION IN A TIMELY MANNER IS THE RESPONSIBILITY OF THE SEMI-FINALIST; SEMI-FINALISTS WHO DO NOT RETURN ALL REQUIRED DOCUMENTATION IN A TIMELY MANNER WILL BE DISQUALIFIED.

SELECTION: Selection of Semi-Finalists:

Through the online process, the Hosting Company will select the Semi-Finalists, based upon the number of votes collected by Web Site visitors, starting on Sunday, April 30^th, 2006 at 12:01 AM and continue to Saturday, July 29^th, 2006 at 11:59 PM. In the event that any Contestant is determined to be ineligible after her Images have been posted at msbikini.com, she will be disqualified and her Images will be removed. Each week, votes will be collected from Sunday, 12:01 AM until Saturday, 11:59 PM, (herein referred to as “Voting Period.”) All times are Eastern Standard Time. Voters may vote only one time each day during each Voting Period. For a vote to register, all official online voting will require one vote, per visitor with a functioning email, per day, and a confirming reply sent to voting visitor. It is the discretion of the Hosting Company to determine status, including possible disqualification, of a Contestant, if any voting is found to be unfair or fraudulent. Each week of the Contest, the Hosting Company will select two (2) of the Contestants to become Semi-Finalists, based upon the results of the voting. A total of twenty-six (26) Semi-Finalists will be chosen during this online portion of the Contest. In the event that a Semi-Finalist is determined to be ineligible or withdraws from the Contest, the Hosting Company reserve the right to substitute another Contestant to replace such person. The selection of the Semi-Finalists shall be within the guidelines of the Hosting Company, whose decisions shall be final, and shall be based on the criteria listed herein. Results of public voting are one factor in selecting Semi-Finalists, but are not determinative.

Through event venue competitions, the Hosting Company will select the Semi-Finalists, based on an organized judged event, in conjunction with contracted venues, at least one (1) of the Contestants as the Semi-Finalist. Unless otherwise stated by a contracted venue, each event venue competition will include the following segments: (i) Sexy evening/club wear; (ii) Question; and (iii) Swimwear. The selection of Contestants will be judged on the following five (5) categories: (i) Ability to speak (or communicate); (ii) Appearance in sexy evening/club wear; (iii) Poise and posture; (iv) Appearance in bikini; and (v) Overall beauty. During the venue’s Semi-Finals round, Contestants will be selected as Contest Semi-Finalists accordingly.

The Hosting Company reserve the right to contact a Semi-Finalist for any reason relating to the Contest. An estimated fifty (50) Semi-Finalists will be chosen to be Finalists during the Contest. All selected Finalists will be notified by e-mail and/or telephone when selected, and may be required to respond to additional questions or to provide other additional information.

Selection of Finalists: All Semi-Finalists will be invited to attend the International Finals Week, from Thursday, August 17^th, 2006 through Wednesday, August 23^rd, 2006, at (location T.B.A.). All Semi-Finalists will be required to conform to all guidelines as stated herein by these Official Rules. Semi-Finalists may also be required to: (i) respond to additional questionnaires; (ii) submit to an interview via telephone or otherwise; and/or (iii) submit other additional materials or information, at the discretion of the Hosting Company. Semi-Finalists may also be required to return additional documentation, affidavits or releases as may be required by the Hosting Company, and if such documentation is not received by the designated date, prior to the International Finals Contest or if the documentation submitted is deemed to be, in the Hosting Company's sole determination, incomplete, erroneous or misleading, such Semi-Finalist will be ineligible to participate in the remainder of the Contest. In the event that a Semi-Finalist is determined to be ineligible or withdraws from the Contest prior to the commencement of the International Finals Contest (defined below), the Hosting Company reserve the right to substitute another Semi-Finalist to replace such person.

Semi-Finalist must attend and participate in the International Finals Contest, on Saturday, August 19^th, 2006, held as an organized judged event. The International Finals Contest will include the following segments: (i) Sexy evening/club wear; (ii) Question; and (iii) Swimwear. The selection of Finalists will be judged on the following five (5) categories: (i) Ability to speak (or communicate); (ii) Appearance in sexy evening/club wear; (iii) Poise and posture; (iv) Appearance in bikini; and (v) Overall beauty. The Hosting Company, through this organized event, will choose a Winner and Runners-Up, based upon the result of the judge’s scores in accordance to the categories as stated above. In the event that a Winner is determined to be ineligible or withdraws from the Contest, the Hosting Company reserve the right to select another Winner. All Semi-Finalists will receive placement in the printed calendar if all of the following apply: (i) Attend the International Finals Contest; (ii) Attend one or more scheduled photo and video shoots, using professional and assigned photographers and videographers. The calendar photo and video shoots will be scheduled within the International Finals Week. Any Finalist who does not respond, or who is unable to attend the photo and video shoot, will be disqualified, and another Finalist may be chosen. All Finalists who respond in a timely manner and who indicate that they will be able to attend to the photo and video shoot will be eligible to become Finalists.

PRIZE/VALUE: Finalists' Prize: All Finalists may refer to themselves as an "International Ms. Bikini 2007 Calendar Models" in written and descriptive materials such as a biography, resume, or other purely non-commercial descriptive aspect. All Finalists who respond immediately to the Hosting Company's inquiries and attend the photo/video shoot(s), will be photographed/videotaped by a professional photographer/videographer, selected by the Hosting Company. One or more photos and/or videos of each Finalist from the photo/video shoots may appear in the International Ms. Bikini 2007 Calendar and/or a supplement thereto, and/or on the Web Site, or an affiliated or associated Web Site. Finalists do not have the right to license Hosting Company's name or trademarks, including but not limited to "Ms. Bikini" to any other entity, even if Finalist is making an appearance on behalf of that entity. Any such license must be secured from Hosting Company. Any use of "Ms. Bikini," or any reference thereto, in connection with any promotional event or advertising must first be approved by the Hosting Company in writing.

Finalists will be entitled to use all approved photos taken of Finalist at the Finalist Photo Shoot, (the “Licensed Images”) and one (1) portion of a videotape taken of Finalist at the Finalist Video Shoot, (the “Licensed Videotape,”) such Licensed Images and Licensed Videotape to be selected in the sole discretion of Hosting Company, on Finalist's portfolio and personal promotional site online, provided that such online site does not include any images that are considered pornographic, vulgar or obscene (which is to be determined in the sole discretion of Hosting Company). The Licensed Images and Licensed Videotape will be label either by a watermark or otherwise, with the Ms. Bikini logo, linked to Contest Web Site, and will include a credit for the photographer/videographer, and can only be used in association with the logo and credit. The Licensed Images and Licensed Videotape may not be used for any purpose other than those described herein without the prior express written permission of Hosting Company.

Winner's Prize: Winner may refer to herself as the "Ms. Bikini 2007, Cover Model" in written and descriptive materials such as a biography, resume, or other purely noncommercial descriptive aspect. The Winner does not have the right to license Hosting Company's name or trademarks, including but not limited to "Ms. Bikini" to any other entity, even if the Winner is making an appearance on behalf of that entity. Any such license must be secured from Hosting Company. The Winner may use the Ms. Bikini 2007 logo (copy to be provided upon request of the Winner) in connection with Winner's portfolio and personal promotional online site only, provided that the logo may only be used in connection with the Licensed Images and Licensed Videotape, and further provided that such online site does not include any images that are considered pornographic, vulgar or obscene (which is to be determined in the sole discretion of Hosting Company). Any use of "Ms. Bikini" or any reference thereto, in connection with any promotional event or advertising must first be approved by the Hosting Company in writing.

All federal, state/provincial and local laws and regulations apply. Taxes, if any, are the Contestant’s sole responsibility. No substitution, transfer, assignment or cash equivalent permitted. The Hosting Company reserve the right to substitute prizes with one of equal or greater value, at the Hosting Company's sole discretion.

NOTIFICATION/TERMS: Contestants, Semi-Finalists, Finalists and Winner will be notified by e-mail, telephone or other means reasonably calculated to provide notice. Entry constitutes permission to use Contestant's name on the MsBikini.com publications and/or on the Web Site, or an affiliated or associated Web Site, and their consent to use her name, photograph, comments and/or voice/video recordings and likenesses for advertising or publicity purposes, in any and all media - including but not limited to publications, online display, television, cable, video, DVD and/or film productions, wireless applications and other media channels and applications, and for advertising, promotions, other Contests sponsored by one or all of the Hosting Company and other commercial purposes (whether by the Hosting Company or any third party) - without additional compensation or permission, except where prohibited by law. Contestants consent to a background check that may be performed, at the sole discretion of the Hosting Company, to verify information provided by Contestants and compliance with these Official Rules, or for other reasons related to the Contest. This Contest shall be governed and construed by Pennsylvania law, and the exclusive venue for all controversies will be in state or federal court in Dauphin County, Harrisburg, Pennsylvania. All federal, state/provincial and local taxes are the exclusive responsibility of the Contestants, Semi-Finalists, Finalists and Winner. The Hosting Company reserves the right to crop or otherwise alter images. Contestant waives (or shall ensure that copyright holder waives if Contestant is not copyright holder) in favor of Hosting Company and anyone authorized by them, any and all moral rights that Contestant (or copyright holder) may have in any image or video submitted. If any Contestant does not return any document within the timeframe indicated on the document, or cannot be contacted, Contestant will be disqualified.

DISCLAIMER AND RELEASE OF LIABILITY: The Hosting Company and all prize providers are not responsible for any incorrect or inaccurate entry information, human error, technical malfunction, failures, omission, interruption, deletion, or defect of any telephone network, computer online systems, computer equipment, servers, access providers, or software, including any injury or damage to participants' or any other persons', computer relating to or resulting from participation in this Contest; inability to access the Entry Web Site or any pages thereof; theft, tampering, destruction, or unauthorized access to, or alteration of entries; entry submissions that are processed late or incorrectly or are incomplete, garbled, or lost due to computer or electronic malfunction or traffic congestion on the Internet or any Web Site. Proof of entering information at Web Site is not considered proof of delivery or receipt. All dates set forth in these Official Rules are approximate. The Hosting Company reserves the right to extend any deadlines. All entries and any other materials submitted (including but not limited to images and videotapes) become the sole property of the Hosting Company and will not be returned or acknowledged. False and or deceptive entries or accounts shall render entry ineligible.

All decisions of the Hosting Company shall be final and conclusive on all matters relating to the Contest.

All Contestants, Semi-Finalist, Finalists and Winner release the Hosting Company and their parent companies, affiliates, subsidiaries, wholesalers, retailers, officers, directors, agents, employees and all others associated with the development and execution of this Contest from any and all liability with respect to, or in any way arising from, this Contest, publication or use of their images/videotapes, and/or acceptance or use of the prizes, including liability for personal injury, death, damages, or monetary loss.

The chances of being selected to proceed to each of the different stages of the Contest depend on the number of Contestants, on the judging criteria for each stage, and how well the Contestant rates on each such decisive factor compared to other Contestants.

The Hosting Company reserve the right to terminate, withdraw or amend the Contest for any reason.

Contestants consent to the Hosting Company's collection, use and disclosure to third parties of Contestants' personal information for the purpose of administering this Contest and as otherwise set out in these Official Rules.

WINNERS' LIST: For a copy of the Official Rules or the name of the Finalists and Winner, send a self-addressed, stamped envelope to International Ms. Bikini, Angel Marketing Group, Hogestown Road, Mechanicsburg, Pennsylvania 17050 USA by January 15^th, 2007. (US residents in Vermont and Washington, and other US states, as well as other residents in other countries, where forbidden by law, may omit a stamp.)
